Terms of Service & Escrow Protocol

1. Marketplace Technology Intermediary ("Middleman" Role)

The Brand Attire provides an institutional micro-auction and escrow communication protocol connecting conference keynote speakers, panelists, and event attendees ("Creators / Attendees") with corporate sponsors, startups, and brands ("Sponsors").

TheBrandAttire is solely a technology venue and escrow facilitator. TheBrandAttire is NOT an employer, talent agent, apparel manufacturer, textile printer, or event organizer. All sponsorship transactions are independent contracts formed directly between the Sponsor and the Creator/Attendee.

2. Bidding Protocol & Anti-Sniping Protection

Micro-auctions execute under standardized protocol rules:

• 2X Doubling War (Instant Takeover): A competitor must double the current prevailing bid to immediately conquer the slot.
• +15% Incremental Escalation: Bids escalate in standard minimum increments of 15% above the prevailing leading bid.
• Anti-Sniping Soft-Close: Any bid placed within the final sixty (60) seconds of an auction dynamically extends the timer by an additional sixty (60) seconds to ensure fair price discovery.

3. Garment Printing, Decals & Creator Self-Execution

CRITICAL NOTICE — NO PLATFORM SHIPPING: TheBrandAttire does NOT manufacture, print, embroider, or ship physical garments or apparel. TheBrandAttire has zero physical custody of clothing.

It is the sole and exclusive responsibility of the Creator or Attendee to:

• Download the verified high-resolution vector artwork (.SVG, .AI, or 300+ DPI .PNG) provided by the winning sponsor upon auction conclusion.
• Directly produce or print suitable high-fidelity apparel decals, thermal transfers, patches, or stickers.
• Firmly adhere or apply the brand creative onto their designated event attire (hoodie, blazer, jacket, gown, or t-shirt) in accordance with the agreed slot coordinates.
• Physically attend the designated summit, conference, or festival wearing the branded garment.

4. Mandatory X.com (Twitter) Proof of Attendance & Escrow Release

To trigger escrow disbursement and receive net sponsorship funds:

1. Live Event Post on X.com: During the active event hours, the Creator/Attendee must publish a public post on X.com (formerly Twitter) containing clear photographic or video proof of themselves physically present at the event wearing the attire with the visible sponsor logo(s).
2. Mandatory Tag: The post MUST explicitly tag our official handle @thebrandattire and mention the sponsoring brand.
3. Escrow Release: Upon automated verification or administrative review of the X.com post, the escrowed funds (less the standard 6.5% platform protocol fee and third-party MoR processing charges) are remitted directly to the Creator's payout account.
4. Non-Performance & Full Sponsor Refund: If a Creator/Attendee fails to attend the event, fails to wear the branded attire, or fails to publish verified proof on X.com within 24 hours of event conclusion, the sponsorship is declared null and void, and 100% of the escrowed funds are returned to the Sponsor.

5. Settlement, Outbid Refunds & Fee Schedule

Transactions are processed through Dodo Payments Inc. (Merchant of Record):

• Winning Bid Settlement: The winning sponsor pays the final bid amount plus applicable merchant processing fees. TheBrandAttire retains a 10% platform protocol facilitation fee, Dodo gateway retains 3%, and the Creator receives an 87% net payout upon verified X.com attendance proof.
• Outbid Participants: When outbid prior to timer expiration, 100% of the core bid principal is released or refunded to source with zero platform cancellation penalty.

6. Complete Limitation of Liability & Indemnification

Under no circumstances shall TheBrandAttire, its directors, employees, or partners be liable for any indirect, incidental, or consequential damages resulting from: (a) print quality or physical decal application defects; (b) event schedule alterations, cancellations, or venue ejections; (c) Creator stage remarks or conduct; or (d) disputes between Creators and conference organizers regarding attendee dress codes. Sponsors and Creators mutually agree to indemnify and hold harmless TheBrandAttire from all claims arising from their sponsorship agreements.

7. Non-Mediation / No Arbitration Guarantee (Strictly Peer-to-Peer)
